Information about using Carbon Ticket and purchasing through participating organizer sites.

These Terms & Conditions ("Terms") govern your access to and use of the Carbon Ticket website, ticketing platform, accounts, event pages, and related services (collectively, the "Services").
Carbon Ticket is operated by B2 Technologies LLC, doing business as Carbon Ticket ("Carbon Ticket," "we," "us," or "our").
By accessing or using the Services, creating an account, purchasing a ticket, or otherwise indicating your acceptance of these Terms, you agree to be bound by them. If you do not agree to these Terms, do not use the Services or complete a purchase through Carbon Ticket.
1. Carbon Ticket's Role
Carbon Ticket provides ticketing technology, online event pages, technical services, reporting, customer-support tools, check-in tools, and other related services that allow independent event organizers ("Event Organizers" or "Organizers") to offer tickets to their events.
Unless Carbon Ticket is expressly identified as the Event Organizer for a particular event, Carbon Ticket is not the producer, promoter, owner, or operator of the event or venue and is not the seller responsible for conducting the event.
The applicable Event Organizer is responsible for its event and for the ticket offering associated with that event, including, as applicable:
- event dates, times, locations, schedules, programs, performers, and activities;
- ticket prices and ticket availability;
- purchaser-facing fees;
- refund, exchange, cancellation, and postponement policies;
- venue arrangements;
- event operations and fulfillment;
- seating information supplied for the event;
- applicable taxes and other governmental requirements; and
- information, descriptions, images, logos, and other content supplied for the event.
Carbon Ticket may assist an Organizer with event setup, ticket configuration, technical issues, purchaser support, check-in, onsite assistance, or other administrative tasks. Providing such assistance does not transfer responsibility for the underlying event or ticket sale to Carbon Ticket.
2. Ticket Purchases
When you purchase a ticket through Carbon Ticket, you are purchasing admission to an event offered by the applicable Event Organizer using Carbon Ticket's technology.
You are responsible for reviewing the event information, ticket selection, date, time, quantity, seating selection, and other order details before completing your purchase.
A ticket purchase is not complete until the transaction has been successfully processed and confirmation has been generated.
Carbon Ticket and Event Organizers reserve the right to cancel or correct transactions affected by obvious pricing errors, inventory errors, fraudulent activity, payment failure, technical errors, or other circumstances that make completion of the transaction improper or impossible.
3. Ticket Prices and Purchaser-Facing Fees
Event Organizers establish the prices of tickets offered through Carbon Ticket.
Carbon Ticket does not separately charge ticket purchasers a Carbon Ticket service fee as part of the ticket purchase.
An Event Organizer may choose to include costs within its ticket price or may separately display purchaser-facing fees intended to offset payment-processing expenses, ticketing expenses, administrative costs, or other costs associated with offering tickets.
Any such purchaser-facing price or fee is established by the Event Organizer and is part of the Organizer's pricing for the transaction.
Carbon Ticket may separately charge Event Organizers for the services Carbon Ticket provides to them. Those arrangements are separate from the purchaser's ticket transaction.
4. Payment Processing
Ticket payments may be processed using third-party payment-processing services designated for the applicable Event Organizer.
Payment processors may impose their own terms, security procedures, processing requirements, fraud controls, holds, or transaction limitations.
Carbon Ticket is not responsible for failures, delays, declines, holds, or other actions caused by a third-party payment processor, financial institution, card network, or other payment service.
5. Taxes
Event Organizers are responsible for determining whether sales tax, admissions tax, or other taxes or governmental charges apply to their events or ticket sales and, where applicable, for properly configuring, collecting, reporting, and remitting those amounts.
Carbon Ticket provides ticketing technology and related services and does not determine the tax treatment of an Organizer's event or ticket sales.
Nothing in these Terms prevents Carbon Ticket from taking any action that Carbon Ticket is required to take under applicable law.
6. Refunds, Exchanges, Cancellations, and Event Changes
Unless the applicable Event Organizer states otherwise or applicable law requires otherwise, ticket sales are final.
Refund, exchange, cancellation, and postponement policies are established by the applicable Event Organizer.
If an event is canceled, postponed, rescheduled, materially changed, or otherwise affected, the Event Organizer is responsible for determining and funding any refunds, exchanges, credits, or other remedies that may be available to purchasers.
Carbon Ticket may provide technical or administrative assistance to an Organizer in issuing or processing refunds. Such assistance does not make Carbon Ticket financially responsible for the underlying ticket transaction or the Organizer's refund obligations.
Carbon Ticket or an Event Organizer may choose to make an exception to a refund or exchange policy in an individual circumstance. An exception does not create a continuing obligation to make the same or similar exception in the future.
7. Events and Venues
Carbon Ticket does not control and is not responsible for the quality, content, production, performance, operation, or outcome of an event.
Carbon Ticket is not responsible for matters such as:
- performance quality;
- performer or speaker substitutions;
- event programming;
- event delays;
- parking;
- concessions;
- weather conditions;
- crowd management;
- visibility or sightlines;
- venue conditions;
- physical seating comfort or configuration;
- venue entrances or facilities; or
- other circumstances controlled by an Event Organizer, venue operator, performer, promoter, or other third party.
Carbon Ticket generally does not own, lease, operate, or control the venues used by Event Organizers.
Accordingly, Carbon Ticket is not responsible for the physical accessibility of a venue, accessible seating provided by a venue, venue accommodations, physical facilities, parking accessibility, or other physical conditions at a venue.
Questions or requests concerning event-specific or venue-specific accessibility accommodations should be directed to the applicable Event Organizer or venue.
Nothing in this section limits responsibilities that applicable law independently imposes on Carbon Ticket with respect to Carbon Ticket's own Services.
8. Seating and Ticket Inventory
Carbon Ticket provides technology intended to assist Event Organizers in managing ticket inventory, seating, and admission.
Ticket inventory, seating charts, seat assignments, availability, and related information may be affected by technical errors, inaccurate information supplied by an Organizer or venue, simultaneous transactions, configuration errors, manual sales, or other circumstances.
Carbon Ticket does not guarantee that seating or inventory information will be completely free from error.
If a seating or inventory conflict occurs, Carbon Ticket may work with the Event Organizer to attempt to resolve the issue. Depending on the circumstances, possible resolutions may include reassignment, substitution, correction, refund, or another reasonable solution determined by the Organizer.
A particular seat or ticket is not guaranteed until the applicable transaction has been successfully completed.
9. Ticket Delivery and Accounts
Carbon Ticket may provide tickets, confirmations, receipts, account access, order history, and related information electronically.
Electronic communications can be delayed, blocked, incorrectly addressed, filtered as spam, or otherwise affected by email providers, internet providers, device settings, or other systems outside Carbon Ticket's control.
Purchasers are responsible for providing accurate contact information and for checking spam, junk, and other filtered-message folders when expecting ticket communications.
An online Carbon Ticket account is provided as a convenience for accessing certain information and Services. Continuous account availability is not guaranteed, and temporary inability to access an account does not automatically invalidate an otherwise valid ticket purchase.
Purchasers who cannot locate or access expected ticket information should contact Carbon Ticket or the applicable Event Organizer for assistance.
10. Availability of the Services
Carbon Ticket works to provide reliable Services, but no internet-based service can be guaranteed to operate without interruption or error.
The Services may be temporarily unavailable, delayed, degraded, or interrupted because of circumstances including:
- hosting or server failures;
- internet or network failures;
- software errors;
- database errors or failures;
- maintenance;
- updates;
- equipment failure;
- power or utility failures;
- cybersecurity incidents;
- excessive traffic;
- payment-processor failures;
- failures of third-party software or services;
- acts of government;
- natural disasters; or
- other events inside or outside Carbon Ticket's reasonable control.
Carbon Ticket does not guarantee uninterrupted, continuous, secure, or error-free access to the Services.
Use of the Services necessarily involves risks associated with internet-based technology, including temporary service interruption, transmission failure, software errors, and loss or corruption of electronically stored information.
11. No Guarantee of Sales or Business Results
Carbon Ticket does not guarantee that an Event Organizer will sell any particular number of tickets or receive any particular amount of revenue, attendance, exposure, profit, or other business result from use of the Services.
Carbon Ticket is not responsible for lost or reduced ticket sales, lost revenue, lost profits, missed business opportunities, reputational losses, or other business losses arising from an outage, interruption, technical problem, error, delay, or inability to access or use the Services, to the fullest extent permitted by applicable law.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, B2 TECHNOLOGIES LLC, DOING BUSINESS AS CARBON TICKET, AND ITS OWNERS, MANAGERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES, AN EVENT, A TICKET PURCHASE, OR THESE TERMS.
This exclusion includes, without limitation and to the fullest extent permitted by law:
- lost profits;
- lost revenue;
- lost ticket sales;
- lost business opportunities;
- business interruption;
- loss of anticipated savings;
- loss or corruption of data; and
- damages resulting from temporary inability to access tickets, accounts, reports, seating information, check-in systems, or other Services.
Carbon Ticket is also not liable for acts, omissions, representations, failures, or misconduct of an Event Organizer, venue, performer, promoter, payment processor, internet provider, hosting provider, or other independent third party.
The limitations in this section apply regardless of the legal theory asserted and even if Carbon Ticket has been advised that such damages are possible.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
13. Information Provided to Event Organizers
Purchasing a ticket may require Carbon Ticket to collect and provide certain purchaser or attendee information to the applicable Event Organizer.
Depending on the nature of an event, this information may include personally identifiable information such as names, contact information, ticket information, registration information, purchase information, attendance or check-in status, responses supplied during registration, and other information reasonably necessary to administer the event or the Organizer's legitimate organizational activities.
For example, an Organizer may use purchaser or attendee information for registration, check-in, event communications, attendee records, conference administration, organizational records, customer service, or other legitimate purposes related to its events or organization.
Carbon Ticket does not promise that reports or information provided to Event Organizers will always be anonymous or de-identified.
Event Organizers using Carbon Ticket are not permitted to sell, rent, license, or otherwise provide personal information obtained through Carbon Ticket to third parties for unrelated advertising, marketing, data-brokerage, or other unrelated commercial purposes unless that use was clearly disclosed to the purchaser and appropriately authorized when the information was collected.
Once information has been properly provided to an Event Organizer for legitimate purposes, that Organizer is independently responsible for its subsequent handling and protection of the information.
Carbon Ticket is not responsible for an Organizer's unauthorized, unlawful, or improper use of information after it has been properly provided to that Organizer.
Carbon Ticket does not sell personal information obtained through ticket purchases or Carbon Ticket customer accounts.
14. Organizer Content and Intellectual Property
Event pages may contain names, photographs, logos, artwork, trademarks, descriptions, seating information, promotional materials, and other content supplied by Event Organizers or other third parties.
Carbon Ticket does not independently verify ownership or licensing rights for every item supplied by an Event Organizer.
Event Organizers are responsible for ensuring that they own, license, or otherwise have permission to use and provide the content they submit to Carbon Ticket.
The presence of third-party content on Carbon Ticket does not mean Carbon Ticket owns, sponsors, endorses, or independently verifies that content.
Carbon Ticket may remove or restrict content when Carbon Ticket reasonably believes that the content violates applicable law, infringes another party's rights, violates these Terms, or creates a risk to Carbon Ticket or its users.
15. Prohibited Uses and Content
You may not use Carbon Ticket to engage in unlawful, fraudulent, abusive, or harmful conduct.
Content uploaded or provided through Carbon Ticket may not contain or promote:
- unlawful activity;
- knowingly fraudulent or materially deceptive content;
- infringement of copyrights, trademarks, or other intellectual-property rights;
- malicious software or harmful code;
- pornography or sexually explicit material;
- sexual exploitation of minors;
- credible threats or targeted harassment; or
- other material Carbon Ticket reasonably determines creates a substantial legal, security, or safety risk.
Carbon Ticket may remove prohibited material and may suspend or terminate access to the Services when reasonably necessary to protect Carbon Ticket, its users, Event Organizers, or third parties.
16. User Conduct and Account Suspension
You must provide materially accurate information when making purchases, creating an account, requesting assistance, or otherwise interacting with Carbon Ticket.
You may not intentionally interfere with the operation or security of the Services, attempt unauthorized access, abuse ticketing or check-in systems, engage in fraudulent transactions, or use another person's account without authorization.
Carbon Ticket may restrict, suspend, or terminate access to an account or the Services when Carbon Ticket reasonably believes there has been fraud, abuse, unlawful activity, a security risk, material violation of these Terms, or conduct that threatens Carbon Ticket or other users.
17. Third-Party Services
Carbon Ticket relies on and may integrate with third-party products and services, including hosting providers, payment processors, email providers, software providers, internet infrastructure, and other technology.
Those services are outside Carbon Ticket's direct control and may be governed by their own terms and privacy practices.
Carbon Ticket is not responsible for the independent acts, omissions, availability, policies, or failures of third-party providers.
18. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Carbon Ticket disclaims warranties not expressly stated in these Terms, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent those warranties may legally be disclaimed.
Carbon Ticket does not warrant that the Services will always be uninterrupted, error-free, completely secure, or free from defects.
19. Indemnification for Misuse of the Services
To the fullest extent permitted by applicable law, a user who causes a third-party claim against Carbon Ticket through the user's unlawful conduct, infringement of another person's rights, fraudulent activity, unauthorized content, or material violation of these Terms agrees to indemnify and hold Carbon Ticket harmless from reasonable losses, liabilities, damages, costs, and expenses resulting from that claim.
This section does not make ticket purchasers responsible for acts or omissions of an Event Organizer merely because they purchased a ticket.
20. Event Organizers and Separate Agreements
Event Organizers may be subject to a separate written Service Agreement or other agreement with Carbon Ticket.
These public Terms also apply to an Organizer's use of the Carbon Ticket website and Services unless a separate agreement provides otherwise.
If a separate written agreement between Carbon Ticket and an Event Organizer conflicts with these Terms regarding the business relationship between Carbon Ticket and that Organizer, the separate written agreement controls to the extent of that conflict.
21. Claims Relating to Event Organizers and Other Third Parties
You acknowledge that Event Organizers, venues, performers, promoters, payment processors, and other third parties are independent from Carbon Ticket.
To the fullest extent permitted by applicable law, Carbon Ticket is not responsible for claims, losses, damages, injuries, refunds, expenses, or disputes caused by or arising from the acts, omissions, representations, policies, failures, or conduct of an Event Organizer, venue, performer, promoter, payment processor, or other independent third party merely because Carbon Ticket's Services were used in connection with the event or transaction.
Where a claim or dispute relates primarily to the event itself, the conduct of an Event Organizer, the venue, event cancellation or postponement, event quality, fulfillment of the event, venue conditions, or another matter controlled by an independent third party, you agree to pursue the responsible party rather than Carbon Ticket except to the extent the claim arises from Carbon Ticket's own legally actionable conduct.
Nothing in this section waives any right or remedy that applicable law does not permit you to waive.
22. Informal Resolution of Disputes
Before filing a lawsuit or other formal proceeding against Carbon Ticket arising out of or relating to the Services, a ticket purchase, or these Terms, you agree to first provide Carbon Ticket with written notice describing the dispute and the relief you are requesting.
You and Carbon Ticket agree to make a reasonable good-faith effort to resolve the dispute informally for at least 30 days after Carbon Ticket receives the notice before either party begins a formal legal proceeding, unless immediate action is reasonably necessary to preserve a legal right or applicable law does not permit such a requirement.
This provision does not prevent either party from seeking emergency or temporary court relief when reasonably necessary.
23. Time Limit for Claims
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Carbon Ticket Services or these Terms must be commenced within one year after the claim or cause of action arose, or within any longer minimum period that applicable law requires.
Claims not commenced within the applicable period are permanently barred to the fullest extent permitted by law.
This provision does not shorten any statutory limitation period that applicable law prohibits the parties from shortening.
24. Changes to These Terms
Carbon Ticket may update these Terms from time to time.
The version posted on the Carbon Ticket website at the time you complete a transaction or otherwise agree to the Terms will govern that transaction unless applicable law requires otherwise.
The "Last Updated" date at the top of these Terms identifies the date of the current version.
Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
25. Governing Law
These Terms and disputes arising from them will be governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent a dispute may properly be required to be brought in a particular court by agreement, the parties consent to appropriate state or federal courts located in Utah.
Nothing in this section eliminates rights or remedies that applicable law does not permit a consumer to waive.
26. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible or, if necessary, severed from these Terms.
The remaining provisions will remain in effect.
27. No Waiver
Carbon Ticket's failure to enforce a provision of these Terms in a particular circumstance does not waive Carbon Ticket's right to enforce that provision in another circumstance.
28. Entire Website Agreement
For users who are not subject to a separate written agreement with Carbon Ticket, these Terms, together with Carbon Ticket's Privacy Policy and any event-specific terms disclosed before purchase, constitute the applicable agreement concerning use of the Services.
For Event Organizers subject to a separate written agreement with Carbon Ticket, that separate agreement remains in effect as provided in Section 20.
